NO PETS ARE ALLOWED IN BUY BLACK MARKET EVENTS
This is an INDOOR EVENT. Happening 11am-7pm EST on all event dates listed.
The following business vendor types: FOOD, DRINK, SNACK, & GROCERY BUSINESSES who sell or sample consumable food/beverages on the grounds of the event shall, at its own expense, secure and maintain through the term of this contract, including move-in and move-out days, the insurance and requirements listed below.
If you have a FOOD TRUCK/TRAILER IT MUST BE A SELF-CONTAINED vehicle (not requiring water source) & NOT A concession trailer
A POS (Point of Sales) SYSTEM to provide a required gross sales report at the end of each event day. If you fail to provide this required document, you will unable to participate in future events (you cannot just provide the sales amount made)
Certificate of Insurance for a value of $1 million, you must add NC State Fair- 4285 Trinity Rd, Raleigh, NC 27607 as ADDITIONALLY INSURED & listed as a certificate holder
Current Health Dept. inspection (for food trucks/caterers/restaurants)
Current Dept. of Agriculture (for snack/drink/grocery)
Business vendors with document requirements to be finalized must provide them at the time of finalizing a vendor slot for a specific event date. Failure to provide required documents at the time of finalizing the vendor slot will require that the business vendor be cancelled or charge a $25 document processing fee at the time of submitting the required documents to remain finalized as a Buy Black Market business vendor.
Business vendor check-in window is 7am-10:30am EST. Set-up starts at 7am EST for businesses using trucks and trailers & 7:30am EST for all other vendors. Check-in ends at 10:30am EST, 30 minutes prior to the start of the event. FOOD TRUCKS/mobile businesses need to arrive at 6:50am if you want your vehicle to be put in the facility (your truck CANNOT be in the facility if you cook with gas.)
Late Check-in arrival
Business vendors who arrive after the 10:30am EST vendor check-in cutoff time will not be allowed to check-in or set-up a booth at the event. All vendor fee payments made will be non-refundable and forfeited.
Business vendors will be provided one vendor event shirt or vendor wristbands (up to 4 per booth space) at check-in per event day. The event shirt/wristband provided is expected to be worn by members of the business vendor’s team during the event hours for identification purposes.If a business vendor would like additional vendor shirts for their team, it comes with additional cost and cutoff date to order the additional vendor shirts is the vendor registration closing date for the event. If business vendors need to place an order for a size larger than Adult 2XL, prices go up by an additional $2 per size (example 3XL= +$2, 4XL= +$4, 5XL=+$6, etc.) and are required to be paid in full. All other members of the business vendor’s team are encouraged to wear business vendor specific branded attire.
If a business vendor chooses to have both the vendor shirt and wristbands, they can be purchased.
One Business Per Booth
Only one vendor will be permitted in each booth space unless approved by the Our Stop Shop in advance. Failure to inform and receive approval from Our Stop Shop will result in immediate ejection from the show. Business Vendors cannot assign or sublet this vendor slot finalized without prior approval of the Our Stop Shop's ownership.
Booth Space Occupancy
Hours and dates for installing, occupying and dismantling vendor booth space shall be those specified by the authorized Buy Black Market team. If the business vendor fails to set up its booth display in its assigned space by 10:50 AM on the designated event day or leave its space unattended during the event hours, the authorized Buy Black Market team shall have the right to take possession of the space and no refund will be due to the business vendor. All vendor booths must be open for business during the “Event” hours 11am until 7PM (except during scheduled designated event networking hours). The business vendor may not dismantle the display in the booth space until the “Event” is officially ended at 7:00 PM. Any business vendors who breakdown or leave the event early without communicated and documented consent from the authorized Buy Black Market team will be prevented from having their business participate in any future Buy Black Market events.
Assignment of Space
Only business vendors with full vendor fee payment received by Our Stop Shop’s Buy Black Market team will be eligible to participate in our Buy Black Market event. Vendor booth spaces shall be assigned by the authorized Buy Black Market team in its sole discretion for the “Event” and for the “Event Date” only. Any such assignment does not imply that similar space will be assigned for future Events. The authorized Buy Black Market team reserves the right to change the floor plan or to move a business vendor to another booth location prior to or during the “Event” if the authorized Buy Black Market team determines that to do so is in the best interest of the “Event”.
Relocation of Your Booth
If, for any reason, a business vendor decides to move the location of the business vendor booth space after the booth space has been finalized and assigned, the business vendor is required to pay the $100 fee to the authorized Buy Black Market team. Relocation of your booth must be approved by the authorized Buy Black Market team.
Care of “Event Facility
The business vendor shall promptly pay for any and all damages to the vendor booth space or associated facilities, booth equipment of the property of others caused by the business vendor or any of its employees, agents, contractors or representatives.This includes the cleaning fee cost $50-200 associated with excessive trash or supplies left in a business vendor’s booth space.
Vendor Booth Sizes
All business vendor standard booth spaces will be a 10'x10' space. Business vendors have the option to book a double booth for an additional fee. Business vendors display setup must stay within your designated space or you will incur a $100 charge or be required to leave and forfeit your vendor fee payment. Displays at the front of the vendor booths must not interfere with the visibility of adjoining vendors.
Business vendors may place brochures & other promotional literature only in their designated space and not in any other part of the facility.
(It is imperative to test out your business display setup in advance within the amount of allotted space)
Business vendors are expected to comply with regulations to make their booths and displays accessible to the physically challenged. Violations of the ADA can result in serious civil damage awards: The business vendor agrees to indemnify and hold harmless Our Stop Shop, the organizers of the Buy Black Market and the event’s facility for any claims arising out of our in connection with the business vendor’s·failure to make their display comply with the ADA.
Music, Photographs, and Other Copyrighted Materials. Each business vendor is responsible for obtaining all necessary licenses and permits to use live music, photographs or other copyrighted materials in the business vendor’s booth or display. The use of devices for mechanical reproduction of sound or music is permitted, but must be controlled. Sound of any kind must not be projected outside of the business vendor’s booth space.
Business vendors shall not play or permit the playing or performance of, or distribution of any copyrighted material at the “Event” unless they have obtained all necessary rights and paid all required royalties, fees or other payments.
Business vendors are not permitted to sell items at this event that violates federal trademark law. No counterfeit/replica/lookalike/
Listings and Promotional Materials
By vending at the Event, the business vendor grants the Our Stop Shop a fully-paid, perpetual non-exclusive license to use, display and reproduce the name, trade names and product names of the business vendor in any directory listing the business vendors at the Event and to use such names in the Buy Black Market’s promotional materials. Our Stop Shop and the authorized Buy Black Market team shall not be liable for any errors in any listing or descriptions Of for omitting any “Exhibitor” from the directory or other lists or materials.
Additional Terms and Conditions
The authorized Buy Black Market team has sole control over attendance policies. Except as provided to the contrary in this contract, all monies paid by the business vendor shall be deemed fully earned and non-refundable at the time of payment or non-refundable date designated. The business vendor and each of its employees, agents and representatives shall conduct themselves at all times in accordance with normal standards of decorum and good taste. In addition to its right to close a business vendor booth and withdraw acceptance of the contract, Our Stop Shop and the authorized Buy Black Market team in its sole judgment may refuse to consider for participation in future events a business vendor who violates or fails to abide by the contract and any of the accompanying rules and regulations. This contract and the accompanying rules and regulations represent the entire agreement between the business vendor and Our Stop Shop and the authorized Buy Black Market team with respect to the “Event”. Any amendment to this contract must be in writing and signed by an authorized representative of the Buy Black Market team. The business vendor may not assign this contract or any right hereunder nor may the business vendor sublet or license all or any portion of assigned business vendor booth.
COVID-19 Policy Waiver Agreement
We plan to take all steps to comply with all applicable CDC recommendations, Executive Orders issued by the Governor of North Carolina, Guidance put out by the North Carolina Department of Health and Human Services, and any local ordinances related to COVID-19 including face covering being required as well as temperature checks for all to enter and participate.
Business Vendor recognizes that it is their responsibility for the safety of its employees and participants. Because the event location is open for use by others and the public, Vendor recognizes that there is an increased and higher risk of contracting and spreading COVID-19. With full awareness and appreciation and assumption of risk involved, Vendor hereby forever releases, waives, discharges, and covenants not to sue the State Fair, Our Stop Shop, The Buy Black Market, the State of North Carolina, any related parties related to this event or facility including its board members, officers, agents, servants, employees, successors and assigns (collectively the "Released Parties") from any and all liability, claims, demands, actions, and causes of action whatsoever, directly or indirectly arising out of or related to any loss, damage, or injury, including death that may be sustained by Vendor, its employees, invitees, and/or participants related to COVID-19 while participating in any activity while in, on, or around the event facility and/or while participating any thing during the event.
Limitation of Liability
Under no circumstances shall Our Stop Shop, the authorized Buy Black Market team, or the “Event Facility” be liable for any loss profits or any incidental, special, indirect, punitive or consequential damages whatsoever for any of their acts or omissions or any act or omission of any of their respective contractors, agents, employees or representatives, whether or not apprised of the possibility of any such lost profits or damages. In no event shall the Our Stop Shop or Buy Black Market event maximum liability under any circumstance exceed the amount actually paid to them by the business vendor for booth space rental. Our Stop Shop makes no representations or warranties, express or implied, regarding the number of persons who will attend the “Event” or regarding any other matters.
Cancellation by Our Stop Shop
In the event that the Event does not take place due to any cause beyond the reasonable control of the parties (i.e. severe inclement weather, condition of the facilities, circumstances of the venue, etc.), this Agreement shall terminate and the only obligation of the producers and sponsors shall be the cash portion of the fee paid prior to the date of termination.
Vendor fee payments must be paid in full for business vendor spots to be confirmed for the specific event date.
ALL vendor payments are refundable during up to vendor registration official close date (except during special editions events. See “Special Edition Buy Black Market Refund policy" for specifics). For all non-special edition events after vendor registration closes, payments are non-refundable or transferable. Vendor fee payments can only be applied to future vendor event slots in the form of a future credit available based on the original cancellation's penalty period .
**SPECIAL EDITION Buy Black Market Refund Policy:
During the November special edition Buy Black Market event, all vendor payments become non-refundable or transferrable after payment is made. Payments can only be applied to future vendor event slots in the form of a future credit available based on the original cancellation's penalty period .
Our Stop Shop or the authorized Buy Black Market team should be notified of any vendor cancellations immediately via e-mail. All business vendors who no-shows/provide no notice will result in the business vendor being blocked from participating as a vendor in future Buy Black Market events.
If a vendor has to be cancelled due to not providing proper required documents, there is a $50 cancellation fee deducted from the business vendor's refunded amount or future credit value.
If a business vendor cancels between Vendor registration official closing date- 31 days prior to the event, there is a 25% cancellation fee per event day cancelled and the difference in your vendor slot payment is available as a credit good for the rest of the year. All add-on payments would be forfeited.
If a business vendor cancels between 22-30 days prior to the event, there is a 50% cancellation fee per event day cancelled and the difference in your vendor slot payment is available as a credit good for the rest of the year. All add-on payments would be forfeited.
If a business vendor cancels within 8-21 days of the event date it is a 75% cancellation fee per event day cancelled and the difference in your vendor slot payment is available as a credit good for the rest of the year. All add-on purchase payments would be forfeited.
If business vendor cancels within 7 days of the event, the day of the event or is a no-show vendor of an event date it is a 100% cancellation fee per event day. No portion of fee paid can be applied to a future event.
